International business structuring and company formation
We design a group structure for a business that works in more than one country: which companies it needs, where, how money moves between them and how the group enters a new region. We plan it from the operating model, so the structure fits how the business earns and pays.
For businesses that have outgrown one company in one country
- Clients, team and suppliers are in different countries, and payments between them are slow or blocked.
- You are entering a new region and need a local company and bank account to work there.
- The tax load was never planned, it just accumulated.
- You are building several companies that should work as one group in local markets.
A structure designed from how the business works
We run the project and the operating side. Legal and tax opinions in each country come from advisers licensed there.
| What we do | What you get |
|---|---|
| Map of the current business: flows, contracts, people | A clear picture of what the structure has to support |
| Design of the group structure | Which companies, in which roles, with the reasons for each one |
| Financial flows and settlement between companies | A flow scheme with currencies, accounts and documents for each payment |
| Tax load review with licensed advisers | A comparison of options with the assumptions written down |
| Company formation and banking project | A timeline, a document list and a coordinator for each country |
| Entry into a new region | Local company, payments, hiring and a go-to-market plan together |
Map, design, then set up
- Interviews with the owners and finance.
- We map flows, contracts and where people work.
- We list risks in the current setup.
- A map of the business as it is.
- A list of constraints.
- A project brief.
- We draft structure options.
- Licensed advisers review tax and legal questions.
- We model costs of running each option.
- A structure with the reasons behind it.
- A flow scheme.
- A setup plan with dates.
- Formation and bank onboarding by country.
- Contracts and internal rules are updated.
- Reporting across the group is set up.
- Working companies and accounts.
- A document set for each flow.
- A reporting calendar.
Substance first, and nothing that needs to be hidden
The structure follows the business
Each company in the group has a real function: sales, operations, holding of rights. We do not add a company that only exists on paper.
Transparent by design
We plan for bank compliance and tax reporting from the start. A structure that cannot be explained to a bank is not a working structure.
Opinions from licensed advisers
We do not give legal or tax advice ourselves. Local opinions come from advisers licensed in each country, and we keep them in one project.
Operators of a cross-border business
Our founder runs a licensed cross-border payments company and has moved it into new jurisdictions, with KYC, AML and partner compliance.
Questions owners ask first
What is international business structuring?
Deciding which legal entities a business needs, in which countries, what each one does and how money and contracts move between them, so the group can work, bank and report correctly in every country where it operates.
Do you give tax advice?
No. Tax and legal opinions come from advisers licensed in the relevant country. We design the operating model, run the project and make sure the opinions fit together.
Which jurisdictions do you work with?
That depends on where your clients, team and owners are. We do not start from a list of countries. We start from the business and compare the options that fit it.
Is this about offshore companies?
No. We design structures with real functions in each company and full reporting. We do not build structures whose purpose is to hide ownership or income.
How long does it take?
The map and design stages take weeks. Formation and bank onboarding depend on the country and the bank, so we give dates per country in the setup plan.
